Position Responsibilities

Board members (directors) share collective responsibility to:

  1. Set Strategic Direction
    Establish the strategic direction of Aoibhneas within the framework of its Constitution and available resources.
  2. Oversee and Support the CEO
    Direct, support, and evaluate the CEO, ensuring organisational compliance with statutory and regulatory requirements.
  3. Engage in Balanced Decision-Making
    Participate fully in impartial, balanced, and fair consideration of all Board matters.
  4. Ensure Robust Governance Systems
    Assure systems of internal financial control, operational compliance, and risk management.
  5. Participate in Board Committees
    Contribute to the work and deliberations of any Committee of the Board.
  6. Collective Decision-Making
    Share and take corporate responsibility for all Board decisions.
  7. Act Objectively
    Maintain objectivity in all work undertaken on behalf of Aoibhneas.
  8. Ensure Compliance
    Ensure full adherence to organisational Policies, Procedures, and Codes of Governance.
  9. Maintain Confidentiality
    Treat all non-disclosure papers as strictly confidential, handle them securely, and dispose of them appropriately.

Each Board member is individually responsible for:

  1. Declaration of Interests
    On appointment, providing the Secretary with details of employment, business interests, shareholdings, and professional relationships that may present a conflict of interest or influence their role.
  2. Meeting Participation
    Attending Board meetings regularly and preparing by reviewing relevant papers in advance.
  3. Committee Contribution
    Participating in committees established by the Board.
  4. Disclosure of New Appointments
    Informing the Board, through the Chairperson, of any new roles that may conflict with duties as a Board member.
  5. Confidentiality of Information
    Not disclosing any information obtained in their role without Board consent, unless required by law.
  6. Responding to Information Requests
    Responding appropriately to information requests and referring them to the Chairperson or Board Secretary where necessary.
  7. Avoiding Misuse of Information
    Not using information gained through Board service for personal gain or political purposes.
  8. Representation Duties
    Representing the Board at meetings, events, or other engagements when required.
